Corporate partner Jordan Yarett published an article titled "Franchise Securitization Financings" in the Spring 2008 issue of the American Bar Association's Franchise Law Journal. The article discusses the complexity of engaging in the successful securitization financing of a franchisor's royalty stream. Since the first of these transactions was achieved in 2000 (when Arby's Inc. raised $290 million through the securitization of the Arby's royalty stream, in which Jordan and Paul, Weiss represented Arby's Restaurant Group, Inc.), securitization has proven more integral to the financing plans of many of the nation's largest franchisors. The article identifies the participants in a securitization transaction, details how a securitization is typically structured and accomplished and addresses the key issues of law governing securitization financing activity. Partners David Kaufmann and David Oppenheim of Kaufmann, Feiner, Yamin, Gildin & Robbins LLP co-authored this article, which is an update to an article originally published as "Securitization: An Overlooked Financial Vehicle for Franchisors," by David Kaufmann, Jordan Yarett, Brian Schorr and Curtis Gimson that appeared in the Spring 2001 issue of this publication.
