London Office Completes Three Significant Securities Offerings

As previously reported in the Financial Times, the Wall Street Journal and The New York Times "Dealbook," RSA Insurance Group plc, a multinational general insurance company, completed a £773 million ($1.3 billion) fully underwritten rights issue. J.P. Morgan Securities plc and Merrill Lynch International acted as joint global coordinators, joint bookrunners and joint underwriters. J.P. Morgan Securities plc also acted as the sponsor.
The Paul, Weiss London office was co-counsel to the issuer along with Slaughter and May. The Paul, Weiss team advising RSA included securities partner Mark Bergman. Assistance was provided by tax partner David Mayo.

As reported by the Financial Times, Brit PLC, a global specialty insurer and reinsurer, completed its listing on the London Stock Exchange and closed its initial public offering. Brit is a portfolio company of Apollo and CVC, which continue to hold stakes in the company. J.P. Morgan Securities plc and UBS Investment Bank acted as joint global coordinators and joint bookrunners for the offering, with J.P. Morgan Securities plc also acting as sponsor.

Funds affiliated with Oaktree Capital Management completed the sale of approximately 73.7 million ordinary shares in Stock Spirits Group PLC, representing approximately 37 percent of the ordinary share capital of the company. J.P. Morgan Securities plc, Nomura International PLC and Joh. Berenberg, Gossler & Co. KG acted as managers.
