On May 25, 2011, the SEC proposed amendments to Rules 501 and 506 of Regulation D under the Securities Act. Under the proposal, a securities offering involving certain felons and other bad actors would be unable to rely on the safe harbor from Securities Act registration provided by Rule 506 of Regulation D.
