A lot has been said about the new HSR rules and the burden that they are expected to impose on dealmakers, but how different are they from what dealmakers are used to in other merger regimes outside of the United States? In this short update, we provide a side-by-side comparison of the HSR disclosure obligations against disclosures that are routinely required in the EU to provide some context for dealmakers and to highlight the real pinch points that parties should prepare for.
