Resolute to Acquire CompoSecure

Paul, Weiss is advising Resolute Holdings I, LP, and its affiliates in their acquisition of a majority interest in CompoSecure, Inc., a leader in metal payment cards, security and authentication solutions. The deal marks the first investment by Resolute, an investment firm led by David Cote, executive chairman of Vertiv, and Tom Knott, former head of Permanent Capital Strategies at Goldman Sachs.
Under the terms of the transaction, the selling shareholders will exchange the entirety of their class B units and associated class B shares for class A shares, eliminating the current dual-share class structure. The Cote family will make a $372 million investment through Resolute, and Dave Cote will become the executive chairman of the board of directors of CompoSecure. The transaction is expected to close by September 30, subject to customary closing conditions and regulatory approvals.
