ADP Shareholders Re-Elect ADP Directors at Annual Meeting

Paul, Weiss represented ADP in its successful proxy contest against Pershing Square.
Shareholders re-elected all 10 of ADP’s directors to the ADP board of directors. Pershing Square’s three nominees, including Bill Ackman, won no seats, receiving support from holders of less than 20% of ADP’s outstanding shares and less than 25% of the shares voted at the meeting. The vote is subject to certification by the Independent Inspectors of Election.
