Shopify Closes $990 Million Public Equity Offering and $920 Million Convertible Notes Offering

Paul, Weiss represented the underwriters in Shopify Inc.’s $990 million public offering of 1,100,000 Class A subordinate voting shares at a price of $900 per share and in its public offering of $920 million aggregate principal amount of 0.125% convertible senior notes due 2025.
The underwriters were led by Citigroup, Goldman Sachs & Co. LLC and Credit Suisse as joint bookrunners on the equity offering and led by Goldman Sachs & Co. LLC, Citigroup and Credit Suisse as joint bookrunners on the convertible notes offering. Shopify, a leading global e-commerce company, intends to use the proceeds to strengthen its balance sheet, providing flexibility to fund its growth strategies.
