David Hepp is the head of Paul Weiss’s Asset Management M&A practice and a partner in the Corporate Department. David advises many of the largest asset management firms in the world and has a diverse corporate practice representing public and private acquirers and target companies, private equity firms, management teams and investment banks. He has been involved in many of the most impactful transactions in the industry over the past two decades.

In addition to large-scale asset management M&A transactions, David has significant experience working with investors and firms on GP stakes and other minority investments. He also advises clients on compensation structuring and retention and equity ownership arrangements for asset management and other financial services firms and their principals.

  • BlackRock in its $12.55 billion acquisition of Global Infrastructure Partners
  • The directors of Hayfin Capital Management in the sale to Arctos Partners
  • Lincoln Financial in its sale of its Wealth Management Business to Osaic,
  • Neuberger Berman Group in the $12.5 billion combination of its Dyal Capital Partners division and Owl Rock Capital Group to form Blue Owl Capital
  • Wells Fargo in its $2.1 billion sale of its asset management business to GTCR and Reverence Capital
  • E*TRADE in its acquisition by Morgan Stanley in an all-stock transaction valued at $13 billion
  • Dai-ichi Life in its acquisition of a 19.9% strategic minority interest in Canyon Partners and the future right to acquire the remaining interest
  • Affiliated Managers Group in:
    • its acquisition of Parnassus Investments and Abacus Capital Group
