Qualcomm and SSW Partners to Acquire Veoneer in $4.5 Billion Deal

Paul, Weiss is advising Qualcomm Inc. in its all-cash acquisition, alongside SSW Partners, of Stockholm-based global automotive technology leader Veoneer, Inc. The $37.00 per share price represents a total equity value for Veoneer of $4.5 billion.
At closing, SSW Partners will acquire all of the outstanding capital stock of Veoneer, shortly after which it will sell to Qualcomm Veoneer’s Arriver business—a software brand focused on sensor perception and drive policy—and retain Veoneer’s Tier-1 supplier businesses. The transaction is expected to close in 2022, subject to Veoneer shareholder approval and other customary conditions.
