MDC to Be Acquired by Japan’s Sekisui House for $4.9 Billion

Paul, Weiss is advising MDC Holdings, Inc., one of the U.S.’s leading homebuilders operating under the name Richmond American Homes, on its $4.9 billion all-cash acquisition by a wholly owned subsidiary of Japan-based homebuilder Sekisui House, Ltd. The transaction is expected to be completed in the first half of the year, subject to customary closing conditions and MDC stockholder and regulatory approvals.
