  • Spirit Airlines, Inc., a Florida-based airline, in its $3.8 billion proposed sale to JetBlue Airways Corporation, and related litigation.
  • Mastercard in a variety of matters, including the antitrust review of its acquisition of Finicity Inc., a company that aggregates data from consumers’ bank accounts.
  • Apollo Global Management and its subsidiaries in connection with multiple transactions.
  • Shopify, a provider of internet infrastructure for commerce, in its $2.1 billion acquisition of Deliverr, Inc., a California-based fulfillment technology provider.
  • Resolute Forest Products, a Canadian paper company, in its $4 billion sale to Domtar Corporation.
  • The Goodyear Tire & Rubber Company, in its $2.5 billion acquisition of Cooper Tire & Rubber Company.
  • Collectors Universe in providing antitrust advice regarding a commercial transaction with eBay; and in its acquisition of SGC, an authentication and grading company for trading cards.
  • IBM in its $4.6 billion acquisition of Apptio, a technology business management software as a service application.

In law school, Jay was an articles editor of The George Mason Law Review. Jay has also written widely about antitrust and net neutrality.
