WHP Global to Acquire rag & bone Intellectual Property

Paul, Weiss is advising global brand management firm WHP Global on the IP licensing aspects of its agreement, alongside Guess?, Inc., to acquire New York-based fashion brand rag & bone. Under the deal, a joint venture 50% owned by WHP Global and 50% owned by Guess? will acquire rag & bone’s intellectual property, and Guess? will own all of the brand’s operating assets. Guess? will acquire the exclusive right to use rag & bone IP to manufacture licensed products worldwide and sell licensed products in specified territories in exchange for payment of royalty fees. The transaction is expected to close during the last quarter of 2024, pending customary closing conditions and regulatory approvals.
