McDonald’s Wins Proxy Fight With Carl Icahn

Paul, Weiss represented the board of directors of McDonald’s Corporation in its successful proxy fight with activist investor Carl Icahn. McDonald’s shareholders overwhelmingly rejected Icahn’s bid to nominate two new directors to the company’s board, with just 1% of shareholders voting for Icahn’s nominees. All 12 existing directors were reelected to the McDonald’s board, and McDonald’s received support for all its existing directors from proxy advisory firms Institutional Shareholder Services (ISS) and Glass Lewis.
