Paul, Weiss Achieves Victory for Yorkville Advisors
On December 6, Paul, Weiss obtained a significant victory on behalf of its client Yorkville Advisors, LLC, when Judge Stanley Chesler of the United States District Court for the District Court of New Jersey granted a motion to dismiss "short-swing profit" claims asserted against Yorkville's investment company, YA Global Investments, under Section 16(b) of the Securities and Exchange Act of 1934, in Klawonn v. YA Global Investments, L.P.
While the plaintiff argued that YA Global was a statutory insider of NeoMedia Technologies, a company specializing in barcode technology, Judge Chesler was swayed by the argument that all relevant securities agreements contained blocker provisions that limited YA Global's potential ownership to below the threshold necessary for insider liability under 16(b).
