Paul, Weiss Obtains Victory for Natexis

Paul, Weiss achieved a victory for our client Natexis, LLC yesterday when Justice Richard B. Lowe III of the Supreme Court of the State of New York granted our motion to dismiss in a breach of contract and declaratory judgment action.

The plaintiff, New Eagle Holdings, LLC, brought the action alleging that it was entitled to $94 million in payments under an agreement to provide price protection for certain shares of Natexis stock that New Eagle had received as part of an acquisition. We argued that New Eagle's interpretation of the agreement was without support and that the contract clearly and unambiguously supported our position that Natexis had satisfied all of its obligations under the contract.

Justice Lowe granted our motion to dismiss in full and adopted our arguments almost verbatim in his opinion.
