As counsel in the Tax Department, Jamie Chambers advises clients on a wide range of tax matters in connection with U.K. and international transactions across multiple industries. He has advised on the tax aspects of a variety of cross-border matters, including private equity transactions, M&A transactions, reorganisations, private fund structuring and incentive arrangements.
EXPERIENCE
Jamie’s recent transactions include representing:
- KPS Capital Partners in its:
- approximately €1.7 billion carve-out acquisition of INEOS Composites from INEOS Enterprises
- €3.5 billion carve-out acquisition of Innomotics, a Germany-based supplier of electric motor and large drive systems, from Siemens AG, a Germany-based technology company
- Global Auto Holdings Limited (GAHL) in its DKK 7.9 billion ($1.17 billion) acquisition of K.W. Bruun’s import and digital businesses
- The Ardonagh Group and its shareholders, Madison Dearborn Partners and HPS Investment Partners, in the investment by funds managed by Stone Point Capital, valuing Ardonagh at $14 billion
- GIC in:
- its establishment of a €400 million joint venture platform with Melcombe Partners, a UK-based asset manager and adviser
- the £694 million acquisition of a 75% stake in the majority of Paddington Central assets from British Land
- Noble in its $600 million offering of senior notes
- Consortium and KKR on the $15 billion all-cash acquisition of CyrusOne, a premier global data centre REIT
- Eagle Street Partners on the formation of a joint venture with Harrison Street to acquire and develop a 554-residential-unit multiphase development at East Road in Dublin, Ireland
- Travelodge in its high-yield refinancing and shareholder distribution
- Noble Corporation in its $1.15 billion refinancing of existing credit facilities
- Bain Capital in the sale of Geometric Results to PRO Unlimited
- A sovereign wealth fund in the acquisition of a pan-European logistics portfolio for over €3 billion from EQT Exeter
- Thoma Bravo on the strategic investment in Condeco, a global leader in workspace scheduling technology
