Of counsel in the Tax Department, David Mayo focuses his practice on corporate and partnership taxation, taxable and tax-free mergers and acquisitions, restructurings and cross-border transactions.

David’s representative funds and strategic clients have included Bain Credit, Baker Hughes, Blackstone Credit, Conair Corporation, Crestview Partners, KPS Capital Partners, New MainStream Capital and Oak Hill Advisors.
David’s recent private equity representations include:
- Towerbrook in a variety of transactions, including:
- in the formation of a single-asset continuation fund targeting $800 million
- in the formation of TowerBrook Fund VI, a private equity fund targeting $4.75 billion
- KPS Capital Partners in a variety of transactions, including:
- its $1.8 billion acquisition of Howden from Colfax Corporation
- in the $3.4 billion sale of DexKo to Brookfield Business Partners
- its acquisition of the fitness business of Brunswick Corporation, including the Life Fitness brand and related intellectual property
- its acquisition of TaylorMade Golf Company, a manufacturer of high performance golf equipment and golf balls, from adidas AG and its subsequent sale to Centroid Investment Partners
- American & Efird, a portfolio company of KPS Capital Partners, in its acquisition by Platinum Equity Capital Partners
- D1 Capital Partners in a variety of transactions, including:
- alongside Abu Dhabi Growth Fund and GCM Grosvenor, in the $550 million investment in Uber Freight, a subsidiary of Uber Technologies
- as lead investor, in a $350 million investment in Dutchie, a cannabis commerce platform
- investment in Lineage Logistics, an innovator in temperature-controlled supply chain and logistics
- Oak Hill Advisors in its $4.2 billion sale to T. Rowe Price Group
- Bain Capital in its structured equity and debt financing in connection with a joint venture with Antares Capital to provide private equity sponsors and borrowers with access to first lien unitranche loans of up to $350 million dollars
- EagleTree Capital in its investments from affiliates of AlpInvest Partners and Alberta Teachers’ Retirement Fund Board, and in its strategic minority investments from Misland Capital and Bullingham Capital
David’s recent restructuring representations include:
- An ad hoc group of first lien, second lien, and unsecured lenders in the chapter 11 restructuring of Endo Pharmaceuticals, a specialty pharmaceutical company. The group comprised approximately of $3.2 billion, nearly forty percent, of the company’s funded debt.
- An ad hoc group of holders of securities issued by Exide Technologies, a manufacturer of automotive and industrial batteries, in a “credit bid” asset sale of the company’s international operations in more than 80 countries as part of the company’s chapter 11 liquidation. The chapter 11 process also involved a mediated settlement of the company’s environmental obligations with dozens of federal, state and local environmental agencies
- An ad hoc committee of noteholders of Mallinckrodt, a leading global biopharmaceutical company, in (a) Mallinckrodt’s chapter 11 cases and (b) a prior out-of-court exchange of $495 million of senior unsecured debt for new first lien senior secured notes, on a par-for-par basis
David has also represented:
- Baker Hughes, an energy technology company that provides solutions to energy and industrial customers, in its joint venture with Akastor ASA, a Norway-based oil-services investment company, to form a joint venture company that will combine Baker Hughes’ Subsea Drilling Systems (SDS) business with Akastor’s wholly owned subsidiary, MHWirth AS
- Conair Corporation, a producer of kitchen electric appliances, non-electric kitchenware, personal care, grooming, health and beauty products whose brands include Cuisinart, Conair, Babyliss, Scunci and Waring, in its sale to affiliates of American Securities
David is a member of the Executive Committee of the Tax Section of the New York State Bar Association, and is a past president of the New York City Tax Club. David has been recognized in Chambers USA as a Leading Individual since 2006 and in The Best Lawyers in America for Tax Law (New York City) since the 2011 edition. In a recent Chambers Global ranking, sources say David is “thorough and business-minded, with the ability to translate tax code into English.”
David served as editor in chief of the Harvard Journal of Law & Public Policy.
