Abigail Xu is an associate in the Corporate Department and a member of the Mergers & Acquisitions Group. Abigail advises on mergers and acquisitions, carve-outs, domestic and cross-border transactions, and other significant transactions for a diverse range of clients, including public and private companies, private equity funds and financial institutions. Abigail also advises clients on corporate governance, activist defense and proxy contests. She also has significant experience representing companies and investment banks in IPOs and other public offerings, and private placements of equity and debt.

EXPERIENCE

Abigail’s M&A representations have included:

  • Blackstone in its significant equity investment in Renaissance Learning*
  • Corsair Capital in its majority stake acquisition of HungerRush*
  • Curtiss-Wright in its defense of a proxy contest initiated by Saddle Point Management*
  • IFM Investors in its acquisition of a majority interest in GreenGasUSA*
  • Integrum in its sale of MerchantE to OPN*
  • New Mountain Capital in its acquisition of Profile Products*
  • Sculptor Capital Management (formerly Och-Ziff Capital Management Group) in its strategic recapitalization and reorganization*
  • TD Bank in its sale of Cowen’s legacy prime brokerage and outsourced trading business to Marex*

Abigail’s capital markets representations have included:

  • Citigroup and other underwriters in connection with the $1.6 billion shares offering of American Express*
  • Genworth Financial in its spin-off of Enact and the initial public offering of Enact*
  • Goldman Sachs and other underwriters in connection with the initial public offering of Vertex, Inc.*
  • J.P. Morgan and other underwriters in connection with the initial public offering and follow on offerings of BRP Group*
  • Sea Limited in connection with multiple offerings, including its $1 billion convertible notes offering and registered $2.6 billion offering of American depositary shares*
  • Trean Insurance Group in its initial public offering and follow on offering*

In law school, Abigail served as Editor-in-Chief of the Stanford Technology Law Review and received the David Hunter Award for Best Claimant Memorandum at the 14th Vis East International Commercial Arbitration Moot.
