Paul, Weiss Advises Commvault in Activist Defense Matter

Paul, Weiss is advising Commvault, a global enterprise software leader in the management of data across cloud and on-premises environments, in its ongoing engagement with activist investor Starboard Value LP, including with respect to Starboard’s nomination of six directors to Commvault’s board.
Commvault learned that Starboard, a New York-based hedge fund, had accumulated a 9.3% stake in the company in Starboard’s Schedule 13-D filing on March 30. Ten days later, on April 9, Starboard nominated six candidates to stand for election to Commvault’s board of directors at the company’s annual meeting. The board said it is reviewing the nominees. Paul, Weiss also advised on Commvault’s recent adoption of a shareholder rights plan.
