OM Group, Inc., a technology-driven diversified industrial company serving global markets, including automotive systems, aerospace and defense, announced the completion of its acquisition by funds managed by affiliates of Paul, Weiss client Apollo Global Management, LLC, in partnership with an affiliate of Platform Specialty Products Corporation, a diversified producer of high-technology specialty chemicals and provider of technical services.
As a result of the transactions, OM Group has become a privately held subsidiary of the Apollo Funds and OM Group's common stock is no longer trading on the New York Stock Exchange. Platform has acquired OM Group's Electronic Chemicals and Photomasks businesses, excluding certain assets in Malaysia, which Platform has entered into an agreement to acquire from affiliates of the Apollo Funds in a separate transaction that is expected to close in January 2016, subject to customary closing conditions. The remaining three OM Group businesses, including the Magnetic Technologies, Battery Technologies and Advanced Organics businesses, will be retained by the Apollo Funds.
The Paul, Weiss team included, among others, M&A counsel Gareth Clark; tax partner Brad Okun; finance partners Gregory Ezring and Brian Kim and counsel David Carmona and Dorian Fogel; employee benefits partner Lawrence Witdorchic; litigation partners Lewis Clayton and Andrew Ehrlich; regulatory partner Mark Mendelsohn and international trade counsel Richard Elliot; intellectual property counsel Menachem Kaplan; and real estate partner Mitchell Berg and counsel Barry Langman.
