Paul, Weiss is advising Shutterfly, a leading digital retailer and manufacturing platform for personalized products, in its $225 million acquisition of Spoonflower, a global marketplace offering custom, print-on-demand fabric, wallpaper and home decor designed by global independent artists.
The acquisition will enable Shutterfly to more broadly serve the fast-growing home decor marketplace by adding Spoonflower wallpaper, fabric, linens, bedding and other home decor soft goods to its product assortment and by connecting Shutterfly’s 21 million active users to Spoonflower’s artists and design community. The transaction is expected to close in the third quarter of 2021, subject to regulatory approvals and customary closing conditions.
The Paul, Weiss team includes, among others, M&A counsel John Godfrey; financing partners Danielle Penhall and Mark Wlazlo; securities partner Brian Janson; tax partners Brian Grieve and Brad Okun; executive compensation partner Lawrence Witdorchic; intellectual property partner Charles Googe; litigation partner Lynn Bayard and counsel Steven Herzog, Darren Johnson, Peter Jaffe, Rachel Fiorill and Daniel Mason; real estate partner Peter Fisch; and environmental counsel William O'Brien.
