Restaurant Brands International to Acquire Carrols Restaurant Group in $1 Billion Deal

Paul, Weiss is advising Restaurant Brands International Inc. (RBI) in its all-cash acquisition of all shares of Carrols Restaurant Group not already held by RBI or its affiliates for $9.55 per share, representing a total enterprise value of approximately $1.0 billion. One of the world’s largest quick service restaurant companies, RBI owns the iconic Tim Hortons®, Burger King®, Popeyes® and Firehouse Subs® quick service restaurant brands. Carrols is the largest Burger King® franchisee in the United States. The transaction is expected to be completed in the second quarter of 2024, subject to customary closing conditions and regulatory approvals.
